Z5 TECHNOLOGIES ACQUISITION

Effective September 13, 2007 FFDH completed its acquisition of Z5 Technologies LLC. The agreement to acquire Z5 was originally announced on May 31, 2007.

  • Z5 develops and sells a line of man-portable Emergency Operations Centers and other types of "Command and Control, Communications and Computer (C4)" solutions for field-based incident management and emergency operations support.
  • Products are marketed under the NOMAD™ brand, and are principally used by the military, first responders, relief workers and high risk industries.
  • Current customers include, among others, the U.S. Army Joint Task Force for Civilian Support, the Federal Emergency Management Agency, the City of New Orleans, and the Department of Homeland Security.
  • LEAD PRODUCT

    Z5 introduced the NOMAD Incident Command Unit in June 2006.

  • A man-portable emergency operations center (EOC) in a rugged fly-away case and built to military specifications, the NOMAD was and continues to be the first solution within its market segment to combine voice, video, data services, encryption, print, copy, fax, scan, GPS, digital imaging, wireless mesh networking (2.4Ghz, 4.9Ghz, and 5.8Ghz), high speed cellular (2Mbps) and broadband satellite (464Kbps) communications into a small (50lbs) man-portable case for less than $30,000
  • The NOMAD has been successfully field tested and deployed with the New Orleans Police Department the Jefferson (Louisiana) Parish Sheriff’s Department, the U.S. Air Force, NORTHCOM Joint Task Force for Civil Support (JTF-CS), the Department of Homeland Security, FEMA, the American Red Cross, Taylor Energy Corporation and Samaritans Purse International Relief Organization.
  • With the successful deployment of its technology the company’s focus has now moved on to sales and marketing. FFDH/Z5 has recently expanded its distribution capability with the development of a Reseller and Technology Partner Program.
  • NOMAD incident Command Unit Deliveries

  • The Federal Emergency Management Agency (FEMA) has now deployed NOMAD C4XS™ The company reported that it will support FEMA as the agency deploys 20 upgraded NOMAD incident command units throughout the country, a number which the Company expects to grow over time. Most of the NOMAD units will are being be delivered to Primary Federal Officers in various FEMA regions in order to improve their ability to respond to those in need at times of crisis. In addition, four upgraded units are being delivered to the Department of Homeland Security - Wireless Management Office in Washington, DC

  • Z5’s NOMAD series has been approved and are currently available through GSA contract # GS-354F-0932N.
  • Z5’s NOMAD series has recently been added to a Department of Homeland Security BPA (Blanket Purchase Agreement) and the US Eagle IDIQ (Indefinite Delivery/Indefinite Quantity) Contact.
  • All of Z5’s products have been added to the NASA SEWP IV GWAC.
  • These contract vehicles are available both for direct sales by Z5’s in-house sales force, and for indirect sales through the Channel Sales Partner Program

    ShelterManager™

    On August 31, 2007, Microsoft Corporation internally announced a strategic partnership with Z5 Technologies to develop a shelter management application for the American Red Cross (ShelterManager™). This application created under this strategic partnership has recently been delivered to the American Red Cross for use during the 2007 hurricane season under a field based shelter management pilot program.     Z5 Labs

    On August 3, 2007 Z5 Technologies announced the establishment of Z5 Labs, a research and development group, focused on conducting R&D in the areas of surveillance and sensor technologies, "Indoor Personnel Tracking" capabilities, remote data communications, power management technologies and deployable satellite solutions.

  • Z5 Labs goal is to focus on the short term and long term development of technologies and solutions capable of changing the way First Responders and Warfighters react at time of crisis.
  • Ultimately the mission of Z5 Labs is to facilitate the creation of solutions that will provide long term recurring revenue for Z5 Technologies and in turn Fortified Holdings.
  • One such solution in development currently is a "Precision Indoor Personnel Location and Tracking device for Emergency Responders".
  • Mobile Rugged

    On July 10, 2007, Fortified Holdings agreed to acquire FastNet Solutions Inc. and its operating subsidiary Mobile Rugged™ (http://www.mobilerugged.com) Mobile Rugged has designed UltraRugged servers, deployable digital video recorders, mobile mesh network access points and wireless surveillance solutions.

  • The Mobile Rugged Server (MRS) Platform is based on a new UltraRugged 12" SRU chassis designed for extreme condition operations for field-deployable devices.
  • The MRS Platform is a distributed blade computing system that can run as a multiple stacked blade server array or with attachable modules (IP Switch, Wireless Router, Data Storage, Secnet Security and LCD Display w/ Keyboard) creating a field-deployable IT solution.
  • The MRS is design to battle extreme conditions and can be deployed as a server or a workstation
  • Development and assembly and distribution of Fortified DataCom’s products will shift over time to FastNet’s 9,000 sq/ft facility near Boston, Massachusetts.

    ViewPort Imaging ™

    Fortified Holdings has recently formed its Fortified Intelligence business unit which is currently focused on the development and delivery of ViewPort Imaging™ software, an advanced geospatial imaging applications.

  • With the general release of ViewPort™ scheduled for October 2007, Fortified Intelligence will provide critical incident responders a complete geospatial mapping product line capable of addressing all aspects of the geospatial data management process including Tasking, Collection, Processing, Exploitation, and Dissemination (TCPED). The TCPED process is commonly used in the Department of Defense community to define the steps needs to get data, analyze it, and deliver the results to those who need the information.

    MARKET OPPORTUNITY

  • Since September 11 the United States has adopted the goal of insuring that "the United States is prepared to effectively respond to a regional crisis" [2006 White House Report on National Preparedness]
  • With over $170B in budget expenditures since 9/11 and a $43B 2007 budget, the Department of Homeland Security (DHS) is now funding initiatives and programs to improve communications and security for our first responders and crisis response teams.

  • Fortified DataCom will continue to focus on the development and integration of additional advanced, man-portable solutions that address this market segment. Among the other elements in the product development roadmap are the addition of peripheral data capture and sensors technologies (e.g,. digital imaging, biological, chemical and radiological data).
  • Fortified DataCom expects to partner with decision support software vendors (e.g., Microsoft, IBM Rapid Response, Global Bay HazardPoint, DGI Cobra) in order to provide analytic tools for analysis, collection and presentation of information assets to assist in real-time decision making.
  • In the U.S. alone, there are over 2.3 million First Responders and 1.4 million active-duty military personnel. There are countless more non-government personnel who work in environments that present extreme communications and data-management challenges. And there are equally large numbers in both of these categories located outside of the United States.

  • Intellectual Property

    Fortified DataCom has submitted an application for US patent protection on several elements of its NOMAD product and for business process patent protection on elements of the assembly, configuration and integration of the NOMAD. Fortified DataCom also intends to seek patent protection or other proprietary trade protection in selected foreign jurisdictions at the earliest opportunity. In general, the Company also requires nondisclosure, noncircumvention and/or noncompetition agreements as appropriate in its sales, licensing, reseller and teaming agreements, and is committed to protecting its proprietary rights under all applicable laws and regulations.

  • For mature companies in the communications equipment sector price/earnings ratios vary from 19 to 57, and price/sales ratios vary from 1.6 to 2.7.
  • FFDH’s current has a market cap is about $42mm. If FFDH were to have a market capitalization of, for example, $100 million, then on a "compare & contrast" with the above companies, FFDH company would have to anticipate sales of between $37 to $62mm and earnings between$1.8mm and $5.2mm

    BRENDAN REILLY, Chairman and CEO

    Brendan Reilly currently serves as the Chairman and CEO of Fortified Holdings Corporation. In this role he is the company’s primary decision and policy maker, setting the tone for the business direction and corporate culture. Throughout Mr. Reilly’s career, he has built a reputation for being an entrepreneur, for having tremendous knowledge of business, a strong work ethic, and for an exceptional ability to motivate those around him. Prior to Z5 Technologies, Mr. Reilly served as a Director of SAN Holdings Inc. (OTC: SANZ) and Executive Vice President of its subsidiary Storage Area Networks, Inc. a data management integration services and geospatial software company. While at SANZ, Mr. Reilly was responsible for creating and managing the SANZ Federal Inc. business unit and growing the company’s government business practice from inception to more than $30 million in revenues in just over thirty months. Prior to SANZ, Mr. Reilly co-founded, two hi-tech companies; the first - ITIS Services, a data management and storage services company received venture funding and accumulated more than $13 million in revenue prior to being sold in 2001 to Storage Area Networks Inc. for $21.1 million, the second - Raging Knowledge Inc. an enterprise knowledge management software company was venture backed and sold two years after inception to a publicly held UK-based software company for $4.1 million. Prior to 1999, Mr. Reilly spent eight years with EMC Corporation.     ALAN HURWITZ, Chief Financial Officer

    For 21 years, Alan Hurwitz has provided finance support to organizations in various stages of growth, responsible for all accounting, finance, legal, HR, risk management and investor relations. His experience in finance and operations spans Fortune 1000 and growth companies in global technology, sales, manufacturing and distribution. Alan is a CPA with a foundation as Big-Four Manager augmented with experience in developing and implementing strategies to increase enterprise value. The scope of Alan’s experience includes Mergers, IPO’s, Private quity/Venture Financing, Strategic Financing, Strategic Alliances, Strategic Planning, Analysis and Budgeting, Multinational Accounting and Finance, Risk Management, Internal Control Programs, and Systems Implementations. Alan also serves as CFO of Revonet, Inc., a data-driven marketing business serving technology and telecommunications companies. Prior to joining the Revonet team, he was CFO of HMonline, a revenue cycle application service provider in the healthcare industry and was Co-founder, CFO and Corporate Secretary of Powersmart, a power management semiconductor company spun-off from Duracell. Alan played an integral role in the successful merger of PowerSmart into Microchip Technologies during 2002. Prior to the spin-off, he was responsible for the finances of Duracell’s New Products and Technology Division, managed Duracell’s global internal audit function and served as a member of the corporate integration team when Duracell merged with Gillette. Before joining Duracell, Alan was an audit manager in PricewaterhouseCoopers Middle Market group, serving public and private enterprises in various industries.

    KIRK HANSON, Vice President of Operations

    Kirk Hanson has over sixteen years of executive management and leadership experience, serving in roles such as Chief Operating Officer, Chief Financial Officer and Vice President of Sales in a number of companies primarily in the information technology sector. Presently, Mr. Hanson serves as Vice President of the Products Division for Alvarez & Associates, LLC, a service-disabled, veteran-owned small business providing IT solutions to United States federal government clients. From May 2007 to June 2007, Mr. Hanson served as Vice President of Operations for Z5 Technology, LLC. Previously, Mr. Hanson served as Chief Financial Officer and Senior Vice President of Business Development for Pacific Western Technologies, Ltd., a Colorado based consulting firm offering services in the areas of facility management, information technology and homeland security, among others, to the federal government. From January 2001 to July 2006, he served as Vice President of Sales Operations and Chief Information Officer for SANZ, Inc., (OTCBB: SANZ), a data storage and management solutions company serving clients in federal, state and local governments in the United States. From September 1999 to July 2000, he served as Chief Operating Officer for Value Technology, a data protection solutions company, and from September 1997 to August 1999, as Chief Financial Officer for Data Management Solutions (prior to and after its acquisition by Cranel, Inc.), a data management and data protection solutions firm.     MARTIN CHAPMAN, Vice President Fortified Intelligence

    Martin Chapman serves as Vice President. Martin is responsible for the design and development of all geospatial software products. He brings to Fortified Intelligence 14 years of considerable experience in systems engineering, geospatial software development, and solutions design. He is a co-inventor and holder of two patents and a previous small technology business owner. Prior to Fortified Intelligence, Mr. Chapman was the Senior Software Architect for SANZ, Inc., where he was responsible for all technical aspects of DoD/Intel Research and development projects for the company’s EarthWhere product line. Mr. Chapman received his education at the Metropolitan College of Denver with a BS in Computer Information Systems and Accounting.

    JAMES ELLIOTT, Vice President

    Responsible for the companies’ sales, distribution and partner management, Jim has more than 17 years of government focused business development experience. Prior to Z5 Mr. Elliott spent five years with Storage Area Networks Inc. (OTC: SANZ) where, as the Director of Business Development, he helped start and grow the organization's federal division from inception to $30 million in revenue in just thirty months. Prior to SANZ, Jim helped grow several technology start-ups in and around Washington, DC establishing their government businesses practices. Mr. Elliott is a former Firefighter in Fairfax City and understands the challenges of First Responders. He also is a former member of the 1985 Thoroughbred Racing Syndicate of Kentucky Derby winner Spend-A-Buck.     DAVID M. KIRBY, Director

    Founder of Kirby Capital Advisors in New Canaan, CT., Mr. Kirby is a graduate of Harvard Graduate School of Business Administration (MBA) and he also holds a Bachelor of Science in Civil Engineering from the Georgia Institute of Technology.

    STEVE COOPER

    Mr. Cooper recently served as the Senior Vice President and CIO of Information Technology at the American Red Cross. Prior to joining the Red Cross Mr. Cooper was appointed by President Bush (Feb. 2003) to become the First CIO of the Department of Homeland Security. At DHS Steve and his team had responsibility for the information technology assets supporting 190,000 federal employees of the 22 agencies now comprising the new department. Their efforts focused on integrating new and existing sources of essential homeland security information via proven and emerging technologies and in full compliance with broader values of privacy, civil liberties and openness.

    Prior to DHS Mr. Cooper was appointed by President Bush (March 2002) as Special Assistant to the President for Homeland Security and served as Senior Director for Information Integration in the White House Office of Homeland Security. In this role, Cooper launched the development of the National Enterprise Architecture for Homeland Security to address information integration within the federal government and the sharing of homeland security information with local, state and relevant private sector entities. He fostered partnerships with local and state government and the private sector to assist local, state and federal initiatives focused on the sharing of law enforcement, public health and emergency services information. With James Flyzik, Senior Advisor to the Homeland Security Director and former CIO of the Treasury Department, he provided the input for Information Sharing and Systems to the National Strategy for Homeland Security.

    Prior to federal government service, Cooper spent more than 20 years in the private sector as an Information Technology professional, most recently as CIO, Corporate Staffs, and Executive Director, Strategic Information Delivery, for Corning, Inc. in Corning, NY. Previously, he served as Director, Information Technology for Eli Lilly & Company in Indianapolis, Ind. Cooper held several senior level technical and management positions with CSC, MAXIMA and CACI prior to forming his own consulting organization, Strategic Information Concepts.

    US Navy Commander, NASA Astronaut, GreyHawk, ManTech

    Pierre Thuot serves a member of Z5 Technologies LLC Board of Advisors, has agreed to join Fortified Holdings Board of Advisors and currently serves as the Senior Vice President, Technology Solutions Group at ManTech Incorporated. Prior to ManTech, Mr. Thout served as the President and CEO of HawkEye Systems, LLC – a national security and counter terrorism consulting company. A former NASA Astronaut, Pierre was a crew member on three space shuttle missions: Columbia - STS-62, March 1994, a micro-gravity science and technology demonstration mission; Endeavour - STS-49, May 1992, the Intelsat VI communications satellite repair mission; Atlantis - STS-36, February 1990, a classified Department of Defense mission. Mr. Thout has served as the Vice President Special Programs, Space Systems Group at Orbital Sciences Corporation where he received eighteen team achievement awards and eleven personal awards including three Defense Superior Service Medals, the Legion of Merit, the American Astronomical Society Flight Achievement, and Victor A. Prather Awards for 1993 and the International Aeronautical Federation Sergi P. Korolyov Diploma for 1993. Associate Fellow, American Institute of Aeronautics and Astronautics (AIAA).     AMBASSADOR THOMAS FERGUSON

    Former US Ambassador, Presidential Advisor

    Ambassador Ferguson is a member of Z5 Technologies LLC Board of Advisors and has agreed to become a member of Fortified Holdings Board of Advisors. Ambassador Ferguson’s broad range of experience includes the practice of Immigration and International Law, ten years of Marketing Manager of a highly successful Fortune 500 Corporation, five years of conducting independent negotiations and contracts overseas, nine years as a senior Member of the Reagan and Bush Administrations including appointments as United States Ambassador to Brunei, Chief Operating Officer of the Immigration and Naturalization Service and as Director of the Eastern Caribbean. Ambassador Ferguson has served four years as the President and CEO of Atlantic Salvage Systems. For 10 years he was employed as the Marketing Manager of American Hospital Supply, a multinational manufacturer of medical equipment, and for four years Ambassador Ferguson served as the President and Managing Director of AirScan International, a thermal imaging (FLIR) company providing airborne security and surveillance for U.S. Missile Launch Facilities. He has served as a Member of Senator John Sherman Cooper’s (R-KY) staff and with the Republican National Committee Convention Staff. The Ambassador’s legal experiences include the practice of International Unfair Competition and trademark infringement. His law and Undergraduate degrees are from Vanderbilt University with Graduate work completed at the Hague Academy of International Law, World Court, the Netherlands, his continuing education includes Harvard University, Kennedy School of Government. Ambassador Ferguson is a recipient of the Special Achievements Award and the Army Commendation Medal, The Commanders Medal for Civilian Service for Special Acts of Merit in Grenada. He is a member of the Mead Johnson Foundation, a Director of Taylor Energy Company and Trustee of the Patrick F. Taylor Foundation, a member of the American Bar Association and the American Management Association.

    REAR ADMIRAL RICHARD A. APPLEBAUM

    United States Coast Guard (Ret.)

    With 35 years of active service in the United States Coast Guard, Rear Admiral Richard A. Appelbaum brings a wealth of knowledge to the Board of Advisors in the areas of maritime law enforcement and defense operations. One of Rear Admiral Appelbaum's greatest accomplishments during his tenure included, creating the National Pollution Funds Center, where he was responsible for designing the governing organization and managing the billion-dollar Oil Spill Liability Trust Fund. Since Rear Admiral Appelbaum's retirement, he's been of counsel to Keesal, Young and Logan, a West Coast maritime and securities law firm, and he has provided consultative services to a broad spectrum of other clients.

    EVERETT ALVAREZ, JR.

    US Navy, POW, Deputy Secretary U.S. Peace Corps, Deputy Admin VA

    Everett Alvarez Jr. serves as a member of Z5 Technologies’ Board of Advisors and President and CEO of Alvarez & Associates LLC. Mr. Alvarez is a distinguished Naval officer, lawyer, author, entrepreneur, and former government executive. He is best known to the public as the first American aviator shot down over North Vietnam. He was taken prisoner on August 5, 1964 and held in North Vietnam as a POW for 8 and ½ years, until the general release of the American prisoners on February 12, 1973. Mr. Alvarez retired from the Navy with the rank of Commander in 1980. In April 1981 he was appointed by President Ronald Reagan to the post of Deputy Director of the Peace Corps. In July 1982, President Reagan nominated and the Senate confirmed Everett as Deputy Administrator of the Veterans Administration (VA). After six years with the Veterans Administration he was appointed by President Reagan in 1988 to the Board of Regents of the Uniformed Services University of the Health Sciences (USU) in Bethesda, Maryland. Mr. Alvarez has been appointed by every President since and now serves (for the 2nd time) as Chairman of the Board of Regents. Everett has served on the President’s Task Force to improve Health Care Delivery for our Nation’s Veterans and recently chaired the VA’s CARES Commission (Capital Asset Realignment and Enhancement Study Commission). Mr. Alvarez is a lifetime member of the Board of Fellows of the University of Santa Clara. He is on the Board of Directors of the International Graduate University of Democracy in Washington DC. He serves on the College of William & Mary Washington DC Council. He has served on the White House Board of Fellows Selection Committee and on the Board of Directors of the Armed Services YMCA of the USA. He is on the Library of Congress Veterans History Project Five Star Council Advisory Committee. Mr. Alvarez holds numerous military decorations, among which are the Silver Star, two Legions of Merit (with Combat "V"), two Bronze Stars (with Combat "V"), the Distinguished Flying Cross and two Purple Heart Medals.

    HUGH O’REILLY

    Hugh A. O’Reilly has more than 16 year of business development and management experience. In addition to this role, Mr. O’Reilly is founder and Principle at Agincourt Consulting Group a Boston based consulting firm. Prior to founding Agincourt Mr. O’Reilly served a Chief Financial Officer and General Counsel for SANZ, Inc. He joined SANZ in late 2001 when the company acquired ITIS Services Inc. where he served as Chief Operating Officer. Prior to joining ITIS, Mr. O’Reilly spent eleven years as a partner in the Boston-based law firm Nutter, McClennen & Fish LLP.     Dan Friel serves as a member of Z5 Technologies’ Board of Advisors and leads Business Development at Honeywell(r) Batteries within Global Technology Systems, Inc, a leading power management and technology company. Prior to joining Honeywell Batteries, Mr. Friel was a senior engineer with Duracell, where he co-authored the original smart battery specifications used for rechargeable batteries in notebook computers - the SBS/SMBus standards. He was also a co-developer of the first commercial and military smart battery products while at PowerSmart, Inc., a spin-off from Duracell. He is the author of numerous articles and trade publications and holds over 12 U.S. and foreign patents in battery management technology. Mr. Friel has a BS EE degree from Purdue University and a MBA from Boston College.
